These Terms of Service ("Terms") govern your access to and use of VideoToPrompt.org (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing and using VideoToPrompt.org, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

VideoToPrompt.org provides an AI-powered platform that analyzes video content and generates text prompts suitable for use with various AI image and video generation tools. Our Service includes:

  • Video analysis and scene description technology
  • AI prompt generation for multiple platforms
  • Prompt customization and editing tools
  • Educational content and tutorials
  • API access (for eligible plans)

3. User Accounts

To access certain features of our Service, you must create an account. You agree to:

  • Provide accurate, current, and complete account information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to terminate accounts, refuse service, or remove or edit content at our sole discretion.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of others. You must NOT use the Service to:

  • Upload videos that you do not have the legal right to analyze or use
  • Infringe any copyright, trademark, patent, or other intellectual property right
  • Upload content that is obscene, defamatory, threatening, or harassing
  • Generate prompts intended for creating illegal, harmful, or malicious content
  • Attempt to reverse-engineer, decompile, or hack our AI systems
  • Use automated tools to scrape, crawl, or collect data from our Service
  • Create false accounts or impersonate any person or entity
  • Engage in any activity that interferes with or disrupts our Service
  • Violate any applicable local, state, national, or international law or regulation

5. Intellectual Property Rights

5.1 Our Content

The Service and its original content (excluding user-uploaded content), features, and functionality are and will remain the exclusive property of VideoToPrompt.org and its licensors. Our trademarks and trade dress may not be used without our prior written permission.

5.2 Your Content

You retain all rights to the videos you upload and the prompts generated from your analyses. By uploading content, you grant us a limited, non-exclusive, royalty-free license to process your content solely for the purpose of providing the analysis service you have requested.

5.3 Generated Prompts

Prompts generated by our AI system are provided to you for your use. You are free to use generated prompts commercially, subject to the terms of the AI tools you use them with (Midjourney, DALL-E, etc.) and your own responsibility to ensure the source video was used lawfully.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

7. Third-Party Services

Our Service may contain links to third-party websites and services. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. The inclusion of any link does not imply endorsement by VideoToPrompt.org.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • The results obtained from using the Service will be accurate or reliable
  • The quality of any products, services, or information obtained through the Service will meet your expectations
  • Any errors in the Service will be corrected

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIDEOTOPROMPT.ORG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless VideoToPrompt.org and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Subscription and Payment Terms

Certain features of the Service require a paid subscription. By subscribing:

  • You authorize us to charge your payment method on a recurring basis
  • Subscription fees are non-refundable except as required by law
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • We reserve the right to change subscription pricing with 30 days notice

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time through your account settings or by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitute your acceptance of the updated Terms.
